These Terms of Service ("Terms") govern your access to and use of ReWoo's services. By engaging ReWoo for any service, you agree to be bound by these Terms. Please read them carefully.
1. Services
ReWoo provides AI workforce deployment services for businesses ("Services"). This includes:
- Discovery Audit — process analysis and AI opportunity identification
- Agent Build — design, training, and deployment of custom AI employees
- Outcome Retainer — ongoing management, monitoring, and improvement of deployed AI employees
The specific scope, deliverables, and timeline of each engagement are defined in a separate Statement of Work ("SOW") agreed between ReWoo and the client prior to commencement of work.
2. Engagement and Payment
- Deposit — A 50% deposit of the agreed project fee is required before any engagement begins. Work will not commence until the deposit is received and cleared.
- Milestone billing — For Agent Build engagements, remaining fees are billed at agreed project milestones as defined in the SOW. Retainer fees are billed monthly in advance.
- Payment terms — Invoices are due within 14 days of issue. Late payments may result in suspension of services.
- Currency — All fees are denominated in Bangladeshi Taka (BDT) unless otherwise agreed in writing.
- Non-refundable — Deposits are non-refundable once work has commenced. Project fees for completed milestones are non-refundable.
3. Intellectual Property
- Client data — The client retains full ownership of all data, documents, brand assets, and business information provided to ReWoo for the purposes of the engagement.
- Deliverables — Upon full payment, the client owns the specific AI configurations, workflows, and automations built exclusively for their business as part of the agreed SOW.
- ReWoo IP — ReWoo retains ownership of all underlying templates, evaluation frameworks, methodologies, proprietary tooling, and base infrastructure used to deliver the Services. These are not transferred to the client.
- No reverse engineering — Clients may not reverse engineer, decompile, or attempt to replicate ReWoo's evaluation frameworks or proprietary systems.
4. Client Responsibilities
- Provide accurate and complete information required for the engagement.
- Ensure data provided to ReWoo is legally owned or licensed by the client.
- Designate a point of contact who is authorised to make decisions and provide timely approvals during the engagement.
- Comply with all applicable laws and regulations related to the use of AI in their business operations.
5. Limitation of Liability
To the maximum extent permitted by applicable law:
- ReWoo's total liability to the client for any claim arising from or related to these Terms or any engagement shall not exceed the total fees paid by the client in the three months preceding the claim.
- ReWoo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from the use or inability to use the Services.
- ReWoo makes no warranty that AI employees will perform without error or that outputs will be free of inaccuracy. Quality benchmarks and human-in-loop checkpoints are in place to minimise risk, but the client accepts that AI systems may produce imperfect outputs.
6. Confidentiality
Both parties agree to keep confidential any non-public information received from the other party in connection with an engagement, and not to disclose such information to third parties without prior written consent. This obligation survives termination of the engagement for a period of two years.
7. Termination
- By client — The client may terminate an engagement with 30 days written notice. Fees for work completed up to the termination date are due.
- By ReWoo — ReWoo may terminate an engagement immediately if the client breaches these Terms, fails to make payment, or engages in conduct that is harmful to ReWoo or its personnel.
8. Governing Law
These Terms are governed by and construed in accordance with the laws of Bangladesh. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.
9. Changes to These Terms
We may update these Terms from time to time. We will notify existing clients of material changes via email. Continued use of our Services after notification constitutes acceptance of the updated Terms.
